Shareholders Reject Climate Transparency Proposal
The proposal sought additional information about how Nike intends to achieve its emissions-reduction targets, including greater detail on the actions required to meet its 2030 objectives. Nike established those targets in 2019, pledging to reduce carbon emissions by 65% across its own operations and by 30% across its supply chain by 2030.
The company reported in a fiscal 2024 update that supply-chain emissions had fallen 11% from a 2015 baseline. However, investors supporting the proposal argued that additional disclosure would make it easier to evaluate whether Nike has a credible pathway toward its longer-term targets.
Nike’s board opposed the measure, arguing that management is best positioned to determine which targets and disclosures are appropriate for the company. The shareholder vote therefore represents a rejection of additional mandatory transparency rather than a withdrawal of Nike’s existing environmental commitments.
Norway’s Wealth Fund Signals Continued Investor Scrutiny
Norway’s sovereign wealth fund, one of the world’s largest institutional investors, supported the proposal and ranks as Nike’s 11th-largest shareholder. Nike’s environmental reporting has evolved in recent years. Its 2024 impact report highlighted initiatives involving recycled polyester and rubber, as well as efforts to help factories in its supply chain increase their use of renewable energy. Subsequent reporting placed greater emphasis on emissions and waste data rather than providing the same level of detail on individual climate initiatives.
For institutional investors, the issue is increasingly linked to the quality of corporate risk disclosure. Clearer reporting can help investors assess whether environmental targets are being integrated into capital allocation, supply-chain management and long-term operating strategy.
Nike Faces Broader Financial and Strategic Pressure

Shareholders separately approved Nike’s executive compensation package, which included more than $36 million in total compensation for Hill for fiscal 2026. Norway’s wealth fund opposed the compensation package, while major proxy advisers also recommended voting against it.
The latest climate vote suggests that investor scrutiny of Nike’s environmental strategy is unlikely to disappear, even though shareholders rejected the proposed disclosure requirements.
