Payward, the parent company of cryptocurrency exchange Kraken, has agreed to acquire Saldo Bank, a digital bank licensed in Lithuania, in a move that could strengthen its position at the intersection of cryptocurrency and traditional financial services. Announced on October 14, the transaction reflects a broader shift among digital-asset companies toward building regulated financial infrastructure as they seek to offer customers more services beyond crypto trading.

Bank Acquisition Would Expand Payward’s European Reach

Under the agreement, Payward will acquire Saldo Finance Oy, a Finnish holding company whose subsidiary, Saldo Bank UAB, operates as a specialized digital bank licensed in Lithuania. The bank is authorized to operate across five European markets through the EU’s regulatory framework. Financial terms were not disclosed, and the transaction remains subject to regulatory approval, with completion expected in 2027.

The acquisition would give Payward access to an EU banking license, extending its capabilities beyond its existing European electronic money institution authorization. That distinction matters because a banking framework can support a broader range of financial products and services, subject to the relevant regulatory permissions. The deal could also make Payward one of the first crypto-native companies to own a European bank, marking a significant step in the convergence of digital assets and conventional banking.

Deposits and Lending Could Deepen Customer Relationships

The planned acquisition is intended to support Payward’s broader banking strategy, including deposit products, lending, card issuance and euro payment services. By combining banking infrastructure with its existing cryptocurrency platform, the company could allow customers to manage traditional money and digital assets within a more integrated financial ecosystem.

For customers, the potential appeal lies in reducing the friction between holding euros, trading cryptocurrencies and accessing credit. Lending secured against digital assets could also allow eligible customers to obtain liquidity without necessarily selling their holdings, although the availability and terms of such products would depend on regulatory requirements and the company’s eventual offering.

The strategy could create additional revenue opportunities beyond trading fees, which can fluctuate with cryptocurrency prices and market activity. Deposits, payments and lending may provide more diversified sources of income, but they also introduce different risks, including credit exposure, liquidity management and the operational costs associated with running a regulated bank.

Regulatory Expansion Comes With Execution Risks

Payward’s European move forms part of a wider effort to strengthen its financial infrastructure. The company has also pursued regulatory capabilities in the United States, including obtaining a limited-purpose master account from the Federal Reserve in March 2026 and applying for a national trust bank charter in May.

These developments illustrate how major digital-asset firms are seeking greater control over payments, custody and financial services rather than relying entirely on external banking partners. However, owning a regulated bank does not eliminate the need to comply with banking supervision, capital requirements, consumer-protection rules and anti-money-laundering obligations.

Investors and industry participants will be watching for regulatory approval, the final integration plan and details of the products Payward intends to launch. If completed successfully, the acquisition could strengthen its European position and diversify its revenue base. Delays, integration challenges or restrictions on the services it can offer could limit the benefits and increase execution costs.
