Goldman Sachs and Apollo Approach Potential Investors

Goldman Sachs (NYSE: GS) and Apollo Global Management (NYSE: APO) are reportedly seeking investors to participate in a financing arrangement valued at approximately $40 billion for SpaceX’s artificial intelligence infrastructure.

According to Bloomberg News, the two financial institutions have begun approaching potential buyers to sell portions of the multi-tranche transaction. Some investors have reportedly been asked to purchase stakes of up to $500 million before the formal syndication process begins.

The reported transaction would represent the largest arrangement of its kind for GPU financing. Reuters said it could not independently verify Bloomberg’s report.

Goldman Sachs declined to comment, while Apollo Global Management and SpaceX did not immediately respond to requests for comment.

Financing Structure Keeps Debt Off SpaceX’s Balance Sheet

The financing arrangement is structured to support SpaceX’s growing computing requirements without placing the associated debt directly on its balance sheet.

SpaceX announced in October that an affiliate of Apollo Global Management would purchase AI chips and server hardware and lease the equipment to the company. The arrangement involves approximately $40 billion in principal payments.

Rather than directly financing the equipment through conventional corporate borrowing, the structure relies on an external ownership and leasing arrangement.

This approach provides SpaceX with access to substantial computing infrastructure while allowing institutional investors to participate in financing the underlying hardware.

Five-Year Lease Supports AI Infrastructure Expansion

The leases are expected to run for slightly more than five years following delivery of the equipment, which is anticipated during the first half of 2027.

The arrangement is intended to finance SpaceX’s expanding computing requirements as the company develops its artificial intelligence business.

The scale of the transaction highlights the significant capital requirements associated with acquiring GPUs and server infrastructure for large-scale AI operations.

For Apollo and participating investors, the financing creates exposure to the leasing of specialized computing equipment, while SpaceX gains access to infrastructure without directly carrying the associated debt under the reported structure.

What Investors Should Watch Next

The next important development will be the formal syndication process and the level of institutional participation in the financing. Investor demand will help determine how the multi-tranche arrangement is distributed across potential buyers.

The expected delivery timeline in the first half of 2027 will also be important as SpaceX expands its computing capacity. The structure demonstrates how large financial institutions are increasingly involved in financing AI infrastructure through specialized asset-backed and leasing arrangements.

However, the reported investor discussions remain subject to confirmation, and the final distribution of the financing has not been disclosed.
