Viatris has agreed to acquire Pacira BioSciences for $1.65 billion, expanding its portfolio of branded medicines as pharmaceutical companies seek established products that can generate revenue beyond traditional generic drugs. The all-cash transaction gives Viatris access to two commercial pain treatments and additional development capabilities, while positioning the company to pursue growth in non-opioid therapies amid continuing demand for alternatives to opioid-based pain relief.

A $1.65 Billion Deal Built Around Established Products

Under the agreement announced on October 8, 2026, Viatris will pay $36.50 in cash for each outstanding Pacira share, valuing the company’s equity at approximately $1.65 billion. The offer represents a premium of about 45% to Pacira’s previous closing share price. The transaction has been unanimously approved by both companies’ boards, although completion remains subject to customary closing conditions, including the tender of a majority of Pacira’s outstanding shares and the expiration of the applicable regulatory waiting period.

Pacira’s principal commercial assets include Exparel, an extended-release injectable treatment used for acute postsurgical pain, and Zilretta, an extended-release injection for knee pain associated with osteoarthritis. The products generated approximately $746 million in total revenue and $177 million in adjusted EBITDA for the 12 months ended June 30, 2026. Their existing commercial presence gives Viatris access to established sales rather than requiring it to rely solely on uncertain future drug development.

Expanding Viatris’ Position in Pain Management

The acquisition supports Viatris’ strategy of building its innovative medicines business alongside its established global pharmaceutical operations. The company plans to use its international infrastructure to expand Exparel and Zilretta into selected markets outside the United States, subject to applicable requirements and commercial opportunities. Pacira will also add U.S. commercial, market-access, medical-affairs and global research and development capabilities.

The deal also complements Viatris’ opportunity in fast-acting meloxicam, a treatment for acute pain that was awaiting a U.S. Food and Drug Administration decision targeted for December 27, 2026. Combining an established portfolio with a potential additional treatment could broaden the company’s presence across pain-management categories. However, the commercial opportunity will depend on regulatory outcomes, market adoption and competition from alternative therapies.

Financing, Returns and Execution Risks

Viatris plans to fund the acquisition primarily with excess cash, using short-term borrowing for the remainder. Management expects the transaction to have a minimal impact on its gross leverage ratio and to immediately improve its financial guidance metrics. The company also sees opportunities for cost and revenue synergies, although the scale and timing of any benefits will depend on integration and execution.

The transaction is expected to close by the end of 2026. Investors will monitor regulatory progress, the integration of Pacira’s commercial operations and Viatris’ ability to expand the acquired products internationally. The key financial test will be whether the new assets sustain revenue and profitability while supporting Viatris’ broader growth strategy without materially weakening its financial flexibility.
