Key Points

  • Wall Street increasingly views a Tesla-SpaceX combination as possible, although Elon Musk has said the transaction is not certain.
  • Tesla shareholders could receive widely different premiums, with estimates ranging from no premium to as much as 35%.
  • Approval could face voting challenges because Tesla requires a majority of all shares, while uncast votes and broker non-votes could affect the outcome.

A potential merger between Tesla and SpaceX is emerging as a major corporate-governance and valuation question on Wall Street, with analysts divided less over whether a combination could eventually happen than over the price Tesla shareholders should receive. With Tesla valued at approximately $1.5 trillion, even relatively small differences in the proposed premium could translate into hundreds of billions of dollars.

Valuation Becomes the Central Issue

The potential transaction would involve Tesla shareholders exchanging their interests for shares in SpaceX, which is controlled by Elon Musk. That structure makes the valuation assigned to each company particularly important, because the economic outcome for Tesla investors would depend heavily on the exchange terms.

Estimates of the potential premium vary substantially. Some Wall Street analysts see little or no premium being justified, while others estimate that Tesla shareholders could receive a premium of as much as 35%. The enormous range reflects uncertainty over the relative valuations of the two businesses and the strategic rationale behind combining them.

At Tesla’s current valuation, the premium alone could represent a massive transfer of economic value, making negotiations over the terms one of the most consequential elements of any proposed transaction.

Merger Terms Have Yet to Be Established

Despite the growing discussion, the companies’ respective panels have not yet agreed on the terms of a transaction, and Reuters reported that no merger terms have been discussed. That distinction is important because market expectations can develop well before a formal agreement exists.

Musk has also said the combination is not certain. The gap between Wall Street expectations and the current status of negotiations therefore remains significant. A transaction would require agreement on valuation, exchange ratios, governance arrangements and other conditions before shareholders could formally evaluate the proposal.

The absence of agreed terms also means that current premium estimates remain scenarios rather than established deal economics.

Shareholder Approval Presents Another Hurdle

Even if Tesla and SpaceX reach an agreement, shareholder approval could introduce another layer of uncertainty. Musk has said Tesla would need a majority of all shares for the merger to receive approval.

Analysts have pointed to uncast votes and broker non-votes as potential obstacles. Unlike a simple calculation based only on shareholders who actively participate in a vote, a requirement involving all outstanding shares can make the approval threshold more demanding.

That dynamic could become especially important given Tesla’s enormous shareholder base and the potential financial significance of the transaction. The voting structure would therefore be closely watched alongside the proposed economic terms.

Market Expectations Could Shape Negotiations

The debate illustrates how a potential Tesla-SpaceX merger could become one of the largest corporate transactions ever considered, with valuation, shareholder rights and Musk’s control all intersecting.

For investors, the next critical developments will be whether formal negotiations produce an agreement, how the companies establish relative valuations and what premium, if any, is ultimately proposed for Tesla shareholders. The market will also need to assess whether the strategic benefits of combining the businesses justify the financial terms and whether the required shareholder support can be secured.
