S&P Raises Concerns Over Meta’s AI Investment Strategy

S&P Global Ratings revised its outlook on Meta Platforms to negative from stable on Friday, highlighting uncertainty over the financial consequences of the company’s ambitious artificial intelligence investment plans.

The decision reflects growing concerns about whether Meta can generate sufficient returns from its AI infrastructure spending while maintaining strong cash flow and credit metrics.

Meta has forecast annual capital expenditure of between $135 billion and $145 billion after reporting a free cash flow deficit of $2.12 billion in the third quarter. The company is also preparing to access public markets through a planned $97.5 billion stock sale to finance its AI expansion.

The scale of these commitments has increased scrutiny of how quickly the company’s investments can translate into sustainable financial returns.

AI Monetization Remains a Key Uncertainty

S&P said Meta’s ability to monetize its AI investments is more limited than that of some industry peers. The agency also noted uncertainty about when new revenue streams will generate meaningful contributions that exceed the rising costs of investment over the next several years.

This timing gap is central to the agency’s concerns. While Meta continues to expand its AI infrastructure, the associated spending is increasing faster than the visibility of potential financial returns.

S&P also expressed reduced confidence that Meta will moderate its spending as previously anticipated, citing limited clarity around future capital expenditure and the company’s ambitious multi-year investment plans.

The agency’s assessment reflects the broader challenge facing major technology companies as AI infrastructure requirements continue to expand.

Free Cash Flow Deficits Expected to Deepen

S&P forecasts that Meta will generate free operating cash flow deficits of $39 billion in 2026 and $71 billion in 2027.

The agency warned that elevated investment could keep free operating cash flow negative beyond 2028. It also expects Meta to finance its projected 2028 cash shortfall entirely through debt.

These projections indicate that the company’s AI expansion could create sustained funding requirements beyond the current investment cycle.

The anticipated cash flow pressure may also affect Meta’s financial flexibility as it balances infrastructure investment, operating expenses and financing decisions.

Leverage Could Approach Credit Rating Threshold

S&P expects Meta’s leverage to potentially rise above 1.0x as early as 2027. The agency identified this level as its threshold for the company’s AA- issuer credit rating.

Meta’s leverage increased from 0.1x in 2025, primarily because the company has pursued a strategy of leasing data-center capacity rather than issuing debt.

However, S&P’s projections suggest that continued spending and future financing requirements could change the company’s leverage profile.

Meta disputed the agency’s assessment of its AI monetization capabilities. A company spokesperson said Meta sees significant product and business opportunities ahead and believes these support its very strong credit profile.

What Investors Should Watch Next

The central issue for Meta will be whether its AI investments begin generating sufficient revenue to offset rising infrastructure costs. Investors and credit analysts will also be monitoring capital expenditure decisions, free operating cash flow and the company’s approach to financing future expansion.

S&P’s outlook revision places greater emphasis on the relationship between investment growth and financial discipline. The trajectory of leverage and the company’s ability to manage projected cash deficits will remain important indicators of its credit position.

Meta’s response highlights a difference in expectations between management and the ratings agency regarding the commercial potential of AI. The coming years will provide greater clarity on whether the company’s investment strategy can support its projected financial commitments.
