Key Points
- Adjusted revenue reached $9.8 billion, increasing 9% year over year, while adjusted EPS rose 17% to $4.66.
- Gross bookings increased 10% to $54.5 billion, supported by higher room nights and merchant revenue.
- Q4 guidance points to slower growth, with adjusted revenue expected to increase between 0% and 2%, reflecting a more cautious near-term outlook.
Booking Holdings delivered solid third-quarter results, supported by higher travel bookings, increased room nights and continued growth across its merchant and agency businesses. However, the company’s fourth-quarter guidance indicates a more measured near-term outlook, highlighting the challenge of sustaining growth amid geopolitical uncertainty, changing consumer demand and continued investment in technology.
Strong Adjusted Results Reflect Resilient Travel Demand
Booking Holdings reported third-quarter adjusted revenue of $9.8 billion, exceeding the estimated $9.55 billion and increasing 9% year over year. Adjusted earnings per share reached $4.66, above the $4.50 estimate and representing 17% annual growth. Adjusted EBITDA totaled $4.61 billion, compared with the estimated $4.5 billion.
The company’s gross bookings reached $54.5 billion, increasing 10% from the same period a year earlier. Room nights rose 7% to 345 million, indicating continued activity across its global accommodation platforms. These figures suggest that demand for travel remained relatively resilient during the quarter, even as consumers and businesses continued to navigate an uncertain economic environment.
There was, however, a difference between adjusted and reported performance. GAAP revenue came in at $8.9 billion, down 1% year over year, while GAAP operating income was reported at $3.42 billion. The distinction matters because adjusted results exclude certain items and therefore do not represent the full impact of all expenses recognized under standard accounting rules.
Merchant Services and Agency Operations Support Revenue Growth
Both major revenue channels contributed to the company’s performance. Merchant revenue reached $7.0 billion, exceeding the estimated $6.81 billion, while agency revenue totaled $2.46 billion, above the $2.44 billion estimate. The figures demonstrate the importance of Booking Holdings’ diversified distribution model, which serves travelers through different booking and payment arrangements.
The merchant business has become an important component of the company’s operating structure as online travel platforms expand their role in payment processing and the overall customer booking experience. Growth in this segment can support customer engagement and transaction volumes, although it also requires the company to manage payment-related expenses, operational complexity and competitive pricing.
Booking Holdings also reported a quarterly dividend of $0.42 per share and $2.1 billion in stock repurchases. The company indicated that $12.4 billion remained under its share repurchase authorization, providing flexibility for future capital returns. These distributions should be considered alongside the company’s investment requirements and broader financial commitments.
Fourth-Quarter Guidance Signals a More Cautious Near-Term Environment
Despite the strong third-quarter performance, Booking Holdings’ fourth-quarter outlook was notably more conservative. Management projected adjusted revenue growth of approximately 0% to 2%, compared with the 7% growth estimate cited in the earnings summary. Adjusted EBITDA growth is expected to be approximately flat, while adjusted EPS growth is projected in the low- to mid-teens, below the referenced estimate of 18.1%.
The company also expects room-night growth of 1% to 3%, gross bookings growth of 2% to 4%, and constant-currency gross bookings growth of 4% to 6%. These forecasts suggest that management is anticipating a slower pace of expansion in the coming quarter, despite the positive momentum recorded in Q3.
For the full 2026 fiscal year, the company maintained expectations for high-single-digit growth in adjusted revenue, adjusted EBITDA and adjusted earnings per share. However, the fourth-quarter projections introduce a more cautious element into the outlook and place greater importance on execution, travel demand and operating efficiency.
Booking Holdings also disclosed an FTC-related matter involving an estimated $900 million revenue reduction and a $100 million accrued loss, which were excluded from adjusted figures, according to the supplied earnings summary. The financial and operational implications of this matter warrant attention as investors assess the difference between adjusted performance and reported results.
Looking ahead, Booking Holdings’ ability to sustain room-night growth, maintain profitability and expand its merchant operations will remain central to its performance. Investors will also monitor the impact of regulatory developments, geopolitical uncertainty and the company’s integration of artificial intelligence across its travel platforms. The contrast between strong third-quarter results and subdued fourth-quarter revenue guidance makes the next reporting period particularly important for assessing whether recent growth can be maintained.
