Key Points
- Major acquisition announced: DoorDash agreed to acquire Instacart in a deal valued at approximately $17 billion, strengthening its position in the US grocery delivery market.
- Shareholders offered $65 per share: The offer represents a premium of approximately 26% to Instacart’s closing price on October 22, before reports of potential deal talks emerged. At least 75% of the consideration will be in cash.
- Regulatory approval remains a key hurdle: The transaction is expected to close at the end of 2027 or during the first half of 2028, subject to regulatory review and other closing conditions.
DoorDash Expands Beyond Restaurant Delivery
DoorDash announced on Thursday that it would acquire Instacart, formally known as Maplebear, in a transaction valued at approximately $17 billion. The deal represents DoorDash’s largest acquisition to date and marks a major push into the competitive US grocery delivery market.
The combination would expand DoorDash’s reach beyond restaurant orders into grocery shopping and other retail categories. It would also give the company greater scale as it competes with established retailers such as Walmart and Amazon, which operate extensive store, warehouse and delivery networks.
DoorDash Chief Executive Tony Xu highlighted Instacart’s experience in online grocery fulfillment, a segment that presents operational challenges involving product availability, order accuracy and delivery logistics.
As restaurant delivery matures, grocery and retail orders offer opportunities to increase order frequency and reach customers across more everyday purchasing needs.
Deal Structure and Shareholder Consideration
DoorDash has offered Instacart shareholders $65 per share, representing a premium of approximately 26% to Instacart’s October 22 closing price, before reports of the negotiations emerged.
At least 75% of the consideration will be paid in cash. Instacart shareholders will be able to elect cash, DoorDash stock or a combination of the two, according to the companies.
Instacart shares were little changed at $58.35 in early trading on Thursday, following a recent rise that took the stock to a record high of $62 on Monday. DoorDash shares gained nearly 6% after the announcement, supported by the acquisition news and better-than-expected quarterly revenue.
The agreement includes termination fees reflecting the financial consequences of a failed transaction under specified circumstances. Instacart would owe DoorDash $650 million, while DoorDash could owe Instacart $1.25 billion.
Grocery Delivery Competition Drives Consolidation
The acquisition comes amid intensifying competition among app-based delivery platforms. Companies are seeking to expand beyond restaurant meals into grocery shopping, convenience products and broader retail fulfillment.
Online grocery delivery has gained traction as consumers prioritize convenience. Higher gasoline prices could further encourage some shoppers to avoid trips to physical stores.
The sector is also facing pressure from rising operating costs, slower order growth and regulatory scrutiny over gig-worker treatment. Meanwhile, emerging AI-powered shopping platforms could change how consumers discover and purchase products online.
Instacart and DoorDash have explored a potential combination over several years, according to the report. Instacart also held preliminary discussions with Uber, although Uber ultimately did not pursue a transaction.
Regulatory Review Could Delay Completion
The companies expect the transaction to close at the end of 2027 or during the first half of 2028. The extended timeline reflects the prospect of a lengthy antitrust review.
CFRA Research identified regulatory approval as the main risk, noting that changes in the policy environment during the waiting period could affect the deal. New York City’s Department of Consumer and Worker Protection also expressed concern about continued corporate consolidation.
DoorDash plans to retain Instacart’s brand and app after the acquisition and combine the companies’ membership programs. It has also pledged not to require grocery retailers to use its delivery services exclusively.
These commitments could be important as regulators examine the potential effects on competition, grocery partners and consumers.
What Investors Should Watch Next
Investors will monitor regulatory developments, the companies’ integration plans and the potential benefits of combining their delivery networks and membership programs.
The acquisition could strengthen DoorDash’s position in grocery and retail delivery, but the expected closing date leaves considerable time for regulatory and market conditions to change. The transaction’s ultimate value will depend on whether the combined business can expand order volumes, improve operational efficiency and compete effectively with major retailers.
