Meta Platforms is preparing its largest-ever equity fundraising, potentially raising up to $95 billion as the company accelerates spending on artificial intelligence infrastructure. The scale of the proposed financing underscores how rapidly AI investment requirements are expanding across the technology sector and marks a significant shift in how major platforms are positioning their balance sheets for the next phase of the AI race.

Meta Unveils $35 Billion Initial Offering

Meta said Monday that it has launched public offerings worth approximately $35 billion, consisting of common and convertible preferred stock. The company is also preparing a substantially larger share-sale programme worth up to $60 billion, although the timing and final terms of that transaction have not yet been determined.

The combined potential raise would represent one of the largest equity fundraising efforts by an AI-focused company. Rather than relying exclusively on operating cash flow or debt financing, Meta is seeking additional equity capital as it expands the infrastructure required to support increasingly sophisticated AI products and services.

Class C Shares Set Stage for Larger Capital Raise

The planned $60 billion share-sale programme is expected to begin after Meta’s new non-voting Class C shares start trading, which the company expects to occur in the first quarter of 2027. Meta has not yet finalized the timing or specific terms of the larger transaction, leaving the ultimate structure of the fundraising subject to further decisions by the company.

The introduction of a new share class is therefore an important component of Meta’s financing strategy. The structure could allow the company to access substantial additional capital while maintaining the existing framework of shareholder control. For investors, the eventual terms will be important in assessing the potential impact of the enlarged share base.

AI Chipmakers Show Strategic Interest

Meta’s fundraising has also attracted interest from three major semiconductor companies. Nvidia, Advanced Micro Devices and Broadcom have expressed interest in purchasing up to $5 billion in total of Meta’s Class A shares, according to the Reuters report.

The potential participation of leading AI infrastructure suppliers adds a strategic dimension to the capital raise. These companies are deeply connected to the expanding demand for computing infrastructure, while Meta remains one of the largest technology companies investing heavily in AI. The proposed investments could therefore reinforce commercial relationships between major buyers and suppliers within the rapidly expanding AI ecosystem.

Capital Requirements Rise With AI Ambitions

Meta’s financing plans highlight the enormous capital requirements associated with the AI expansion. Building and operating advanced computing infrastructure requires substantial investment in processors, data centers and related systems, while companies simultaneously face pressure to develop AI capabilities quickly enough to remain competitive.

The next stage of Meta’s plan will depend on the final structure and timing of the proposed $60 billion share sale. Investors will also be watching how the company deploys the new capital, how the additional shares affect ownership and whether strategic participation from major chipmakers develops into broader commercial arrangements. As AI infrastructure spending continues to reshape technology capital allocation, Meta’s fundraising could become an important benchmark for the sector’s financing requirements.
