Key Points
- Meta approved a new non-voting Class C share structure, allowing the company to raise capital and fund AI expansion without diluting existing shareholder voting power.
- Mark Zuckerberg will receive hundreds of millions of Class C shares, with 20% initially available for unrestricted sale and the remaining 80% subject to conditions designed to preserve his voting control.
- In exchange, Zuckerberg committed to remain in California, or another jurisdiction where Meta maintains its headquarters, for eight years, subject to an exception for significant unforeseen circumstances.
Meta Platforms has approved a new share structure that gives CEO Mark Zuckerberg greater financial flexibility while reinforcing his long-term leadership at the company. The agreement comes as Meta prepares for substantial artificial intelligence investment and Zuckerberg faces the possibility of a multibillion-dollar tax liability under a proposed California wealth tax, illustrating how corporate financing, founder control and personal taxation can intersect.
A New Share Class to Support Capital Raising
Under the arrangement, Meta will create non-voting Class C common stock and distribute one new Class C share for every existing Class A or Class B share, subject to the new structure taking effect. The company expects the amended corporate charter to become effective on January 19, 2027. The new shares could be used for future fundraising, employee compensation and acquisitions without directly diluting the voting power of existing shareholders.
The structure is particularly relevant as Meta pursues an expensive AI expansion strategy. Issuing equity can provide funding without relying entirely on debt or using cash that could otherwise support investment in infrastructure and research. The new class is also intended to establish a liquid public trading market, limiting the risk that non-voting shares trade at a substantial discount to existing Class A stock.
Liquidity for Zuckerberg, With Restrictions on Share Sales
Zuckerberg is expected to receive approximately 342.4 million Class C shares, representing about 13.4% of the shares distributed through the dividend. Initially, 20% of his new shares will be freely saleable. The remaining 80% will be subject to restrictions designed to connect the sale of non-voting shares with a corresponding reduction or conversion of voting shares.
For each restricted Class C share sold, Zuckerberg generally must also sell one Class A or Class B share, or convert one Class B share into Class A stock. This arrangement is designed to prevent him from raising substantial cash while retaining the same voting power indefinitely. The restrictions will gradually ease by 2.5 percentage points per quarter in which he continues to serve full-time in Meta’s executive leadership or as executive chair, reaching full release after 32 qualifying quarters.
Meta’s special committee said Zuckerberg held approximately 60.6% of the company’s voting power as of October 1, 2026. The new structure is therefore not intended to rescue him from an imminent loss of control, but to create financing flexibility while preserving his influence.
The Eight-Year California Commitment
The agreement also requires Zuckerberg to remain a resident of California, or another jurisdiction where Meta maintains its headquarters, for eight years, provided he continues to meet the leadership condition. An exception applies if significant unforeseen circumstances make relocation prudent or advisable.
The residency provision is linked to California Proposition 40, a proposed one-time wealth tax on billionaires that could expose Zuckerberg to a multibillion-dollar tax bill if enacted. The proposal remains uncertain, and the potential liability is not a confirmed payment obligation.
Investors will now watch the implementation of the Class C structure, Meta’s future financing decisions and the outcome of the California tax proposal. The central question is whether the arrangement can support the company’s AI ambitions while balancing shareholder interests, founder control and the financial flexibility Zuckerberg may need.
