Eli Lilly has signed a research collaboration and licensing agreement with China-based InnoCare Pharma worth up to approximately $3.35 billion, giving the U.S. drugmaker access to InnoCare’s proprietary drug discovery platform. The agreement comes as major pharmaceutical companies increasingly use partnerships with biotechnology firms to expand their pipelines and gain access to external research capabilities, particularly in oncology and autoimmune diseases.

InnoCare Could Receive Up to $3.35 Billion

Under the agreement, InnoCare is eligible for up to $100 million in upfront and near-term payments and approximately $3.25 billion in development and commercial milestone payments. The company could also receive tiered royalties in the single-digit percentage range on annual net sales of products resulting from the collaboration.

The potential value of approximately $3.35 billion is therefore dependent on the achievement of development and commercial milestones rather than being guaranteed upfront funding. The two companies have not disclosed the specific targets, disease areas, therapeutic approaches or development timelines covered by the agreement.

Five Drug Targets Expand Lilly’s External R&D Strategy

InnoCare will use its proprietary drug discovery platform and research capabilities to discover and advance compounds against as many as five targets addressing critical unmet medical needs. The structure gives Lilly access to InnoCare’s early-stage research capabilities while potentially allowing the U.S. pharmaceutical company to participate in programs without developing every discovery internally.

The agreement is part of a broader trend in the pharmaceutical industry toward external innovation. Drug development has become increasingly complex, while large pharmaceutical companies face continued pressure to replenish pipelines as existing products mature. Partnerships can provide access to specialized technologies and research platforms while spreading development risk across multiple programs.

InnoCare Brings an Expanding Biopharma Pipeline

InnoCare specializes in cancer and autoimmune disease treatments and currently has three approved medicines: orelabrutinib, tafasitamab and zurletrectinib. The company also has more than 10 innovative drug candidates in clinical development, along with multiple preclinical programs.

The collaboration follows a series of major transactions between global pharmaceutical companies and Chinese biotechnology firms. Lilly has also pursued other partnerships in China this year, including an agreement with Innovent Biologics that could be worth approximately $8.8 billion and another deal with Haisco Pharmaceutical valued at up to $3.05 billion.

For Lilly, the key issue now is whether the discovery programs can progress from early research into viable clinical candidates and eventually commercial medicines. Investors will be watching the disclosure of the five targets, development milestones and any clinical data that emerge over time.
