SEC Examines AI Companies’ Corporate Disclosures

The US Securities and Exchange Commission is examining corporate disclosures from artificial intelligence companies as investor concerns grow over the sustainability of the sector’s expansion.

The scrutiny comes amid a broader retreat in technology stocks, following disclosures from major companies about substantial cash requirements for AI infrastructure investment. Rising interest rates have added to questions about the financial sustainability of these spending commitments, while concerns about circular deals have raised further questions about how AI-related investment activity is being structured.

David Woodcock, who became the SEC’s enforcement director in May, said the agency does not intend to obstruct technological innovation. Its responsibility, he explained, is to ensure companies provide investors with a complete and accurate account of material information and potential risks.

Woodcock emphasized that enforcement remains an important mechanism when companies fail to meet disclosure obligations.

Transparency and Investor Protection Remain Central

The SEC’s position places disclosure quality at the center of its approach to AI-related corporate activity. Investors need sufficient information to understand the risks associated with companies, their financial commitments and their business models.

Woodcock also warned that AI and superintelligence are making scams easier and less expensive to produce at scale. As these capabilities become more accessible, the potential risks extend to a wider group of investors.

He said brokers and other financial firms need appropriate processes to protect retail investors and take thoughtful action in response to emerging threats.

The comments indicate that the agency’s attention extends beyond corporate reporting to the safeguards used by financial intermediaries as AI changes the nature and scale of potential fraud.

Private Markets Face Continued Enforcement Attention

Woodcock confirmed that the SEC will continue examining issues in private markets, with particular attention from its asset management enforcement unit to conflicts of interest and asset valuations.

The agency is concerned with whether investors receive accurate information about the value of private investments and the circumstances surrounding their management.

Woodcock indicated that enforcement activity in this area could increase where disclosures are inaccurate or incomplete. Reuters had previously reported that the SEC was investigating a type of private equity fund as part of its broader interest in less transparent markets.

The focus on valuations and conflicts reflects the importance of reliable information in investment structures where disclosure and pricing can be less transparent.

Prediction Markets Enter the Regulatory Focus

The SEC is also examining its role in overseeing prediction markets, which allow participants to trade or wager on the outcomes of real-world events, including sports, government policy announcements and elections.

Platforms such as Polymarket and Kalshi have expanded significantly over the past two years and are increasingly moving into markets linked to US equities. Such equity-linked products would traditionally fall within the SEC’s jurisdiction.

Woodcock said enforcement personnel are working with policy officials and the Commodity Futures Trading Commission to monitor and regulate the expanding market.

However, he emphasized that the SEC does not want to use enforcement actions as the primary means of regulating the emerging industry. The agency aims to participate where its oversight is appropriate without restricting innovation.

What Investors Should Watch Next

The SEC’s evolving oversight of AI disclosures, private investment structures and prediction markets will remain relevant as financial products and corporate funding models develop. Investors should pay attention to how companies communicate AI-related spending, financial risks, valuations and potential conflicts of interest.

The agency’s coordination with the CFTC will also be important as prediction markets expand into areas that may overlap with established securities regulation. The central regulatory challenge, as outlined by Woodcock, is to maintain transparency and investor protection while allowing new technologies and market structures to develop.
