Key Points
- A U.S. federal judge approved the settlement clearing the way for Paramount Skydance to complete its acquisition of Warner Bros. Discovery, valued at about $110 billion.
- The agreement requires the combined company to release at least 30 films annually and invest an additional $300 million a year in U.S. production for five years.
- Mattel CEO Ynon Kreiz will become co-CEO alongside David Ellison, focusing on day-to-day operations and integration of the combined media businesses.
Paramount Skydance has cleared a major legal obstacle to its acquisition of Warner Bros. Discovery, moving one of the largest media transactions in recent years toward completion. The deal brings together major film, television, news and streaming assets at a time when traditional media companies are seeking greater scale, stronger intellectual-property portfolios and more efficient content economics.
Paramount-Warner Bros. Deal Moves Toward Closing
A U.S. federal judge approved Paramount’s settlement with 12 state attorneys general, clearing the way for the transaction to proceed after months of antitrust litigation. The deal, valued at roughly $110 billion including debt, is expected to close on October 6, marking a major consolidation of two established Hollywood businesses.
Under the settlement, the combined company must release at least 30 films annually in U.S. theaters for five years and invest an additional $300 million each year in U.S. film and television production. The agreement also includes provisions covering negotiations with cable distributors and editorial oversight at CBS News and CNN.
The legal resolution removes a significant source of uncertainty, but it also places measurable operating commitments on the enlarged company as management begins the integration process.
Ynon Kreiz Brings Media and Consumer Franchise Experience
Paramount also announced that Ynon Kreiz, Mattel’s chairman and CEO since 2018, will become co-CEO of the combined Paramount-Warner Bros. business. Kreiz is scheduled to join Paramount on October 5 and will serve alongside David Ellison, who will remain chairman and CEO.
The leadership structure divides responsibilities between the two executives. Ellison will focus on long-term strategy, creative direction, technology, strategic partnerships and capital allocation, while Kreiz will oversee day-to-day operations and integration of the combined businesses.
Kreiz brings more than 30 years of experience across international media and entertainment businesses. His tenure at Mattel included a strategy focused on expanding the company’s intellectual property across entertainment and consumer products, making his experience particularly relevant to a company combining large film, television and franchise portfolios.
Integration Becomes the Next Major Test
With the legal barrier largely removed, attention will shift toward whether Paramount can deliver the financial and operational benefits expected from the combination. Management has previously pointed to more than $6 billion in potential savings, making cost synergies, workforce integration and the management of overlapping operations important areas for investors to monitor.
At the same time, the new company will need to balance efficiency targets with substantial content commitments and the continuing challenge of building sustainable streaming economics. The combined portfolio will include Paramount+, HBO Max, Warner Bros. studios, CBS, CNN and other major entertainment properties, creating significant scale but also a complex integration task.
The coming weeks will therefore focus on the October closing, the broader executive structure and the first stages of integration. Investors will be watching for details on cost savings, content spending, streaming performance, debt management and the company’s ability to convert its enlarged intellectual-property portfolio into stronger long-term revenue growth.
