Meta Expands Its Equity Financing Strategy

Meta Platforms announced on Tuesday that it had increased its planned equity fundraising to $97.5 billion as it accelerates investment in artificial intelligence infrastructure.

The company raised its planned common stock offering from $22.5 billion to $25 billion, with shares priced at $625 each. Meta also priced 250 million depositary shares at $50 apiece. Together, the public offerings involve approximately $35 billion in common and preferred stock.

Meta plans a separate at-the-market share sale program of up to $60 billion, allowing it to sell shares gradually at prevailing market prices. The program is expected to begin after its new non-voting Class C shares start trading, anticipated in the first quarter of 2027. The timing and terms have not yet been finalized.

The expanded plan reflects the growing scale of capital required to support Meta’s AI ambitions.

Chipmakers Join the Fundraising Picture

Nvidia, Advanced Micro Devices and Broadcom expressed interest in purchasing up to $5 billion in total of Meta’s Class A shares. Nvidia separately announced that it would invest $3 billion in the offering.

The participation of chip suppliers introduces another dimension to the financing of AI infrastructure. Technology companies are investing heavily in computing capacity, while some of the suppliers providing the necessary hardware are also considering investments in their customers.

This dynamic has raised concerns about circular capital flows within the AI industry, particularly as Meta expands its spending to compete with OpenAI and Anthropic.

Analysts at William Blair said investors would likely continue scrutinizing the financing structure and the possibility of additional capital raises. They also noted that the fundraising demonstrates Meta’s commitment to pursuing long-term AI returns while highlighting the capital-intensive nature of that strategy.

Meta shares fell approximately 1.4% in morning trading following the announcement.

AI Infrastructure Spending Strains Cash Generation

Meta has committed to approximately $825 billion in future spending, driven primarily by investments in data centers, AI infrastructure and computing capacity.

The expansion has reduced the company’s historically strong free cash flow. Meta reported a cash outflow of $2.12 billion in the third quarter, its first negative free cash flow in more than a decade. A year earlier, it had generated positive free cash flow of $10.63 billion.

The shift illustrates the financial consequences of scaling AI infrastructure at a rapid pace. Although Meta has substantial resources, continued investment on this scale increases the importance of financing decisions, capital allocation and the timing of future returns.

The company’s consumer-focused AI agent Muse and its newer AI models have attracted interest, helping support its investment strategy. However, sustained commercial adoption and improved cash generation remain important measures of whether the spending can produce durable financial benefits.

Big Tech Turns to External Capital

Meta’s fundraising plan reflects a broader change in how major technology companies finance AI and cloud infrastructure. Companies that previously relied more heavily on internal cash generation are increasingly tapping equity and debt markets to support their investment programs.

In June, Alphabet increased its equity offerings to $84.75 billion to finance its AI ambitions. Separately, SpaceX announced a deal involving an Apollo Global Management affiliate to purchase AI chips and server hardware and lease them to the company, with total principal payments of approximately $40 billion.

These transactions illustrate the growing role of external financing in the expansion of AI infrastructure and the increasing importance of capital markets to the sector’s development.

What Investors Should Watch Next

Investors will be monitoring the execution of Meta’s share offerings, the terms of its planned at-the-market program and the effect of additional equity issuance on existing shareholders. The company’s ability to sustain infrastructure investment while restoring positive free cash flow will also remain central to assessing its financial position.

More broadly, the financing arrangements among AI developers, chip suppliers and institutional investors may attract continued scrutiny. The long-term investment case will depend not only on expanding computing capacity but also on whether demand, revenue growth and profitability justify the scale of capital being committed.
