Intel (NASDAQ: INTC) announced a $15 billion common stock offering on Monday as the chipmaker moves to strengthen its financial capacity amid rapidly increasing demand for artificial intelligence computing infrastructure.

Shares of Intel fell approximately 4% in morning trading following the announcement, as investors weighed the potential benefits of additional capital against the dilution associated with issuing a substantial amount of new stock.

Intel Targets AI Infrastructure Growth

Intel said proceeds from the offering will support general corporate purposes, including capital expenditures and working capital. The company highlighted physical AI, purpose-built silicon, and advanced packaging as important opportunities as demand for increasingly specialized computing infrastructure expands.

The fundraising comes as technology companies continue committing enormous amounts of capital to AI infrastructure. Major cloud and technology companies have increased their spending on data centers, processors, networking equipment, and other infrastructure required to support expanding AI workloads.

Capital Spending Continues to Rise

Goldman Sachs estimates that major technology companies could spend approximately $765 billion on AI infrastructure in 2026, with that figure potentially reaching $1.2 trillion in 2027.

Intel itself has been increasing its capital expenditure plans as customer demand strengthens. Last month, the company reported its fastest revenue growth in nearly 15 years and raised its capital expenditure guidance to approximately $20 billion.

Chief Financial Officer David Zinsner previously indicated that much of the spending would support factory tooling and that Intel was preparing for a meaningful increase in demand during 2027.

Stock Has Surged on AI and Domestic Manufacturing

Intel’s shares have experienced a dramatic rally as investors increasingly view the company as a potential beneficiary of the U.S. push to expand domestic semiconductor manufacturing.

The stock has risen approximately 175% in 2026 and has increased roughly fivefold over the past year.

The rally has been supported not only by stronger AI infrastructure expectations but also by the U.S. government’s decision to take a 10% equity stake in Intel, designed to strengthen domestic chip manufacturing capabilities.

Additional Shares Could Increase Dilution

The announced offering also includes a 30-day option allowing underwriters to purchase an additional $2.25 billion of Intel common stock.

While the additional capital could help Intel finance factory investments and respond to increasing customer demand, issuing new shares can dilute existing shareholders.

For investors, the key question will be whether the additional capital generates sufficient future revenue and earnings growth to offset the dilution associated with the offering.
