ADARx Pharmaceuticals entered the public market with a larger-than-planned offering, pricing 26.25 million shares at $17 each and raising $446.3 million. The price landed at the ceiling of the company’s original $15-to-$17 range, while the number of shares sold exceeded the approximately 21.9 million shares initially planned.
The transaction also includes an underwriter option to purchase up to 3.9 million additional shares within 30 days. ADARx shares began trading on the Nasdaq Global Select Market under the ticker ADRX, marking the company’s transition into the public equity markets.
AbbVie Adds a Strategic Capital Component
Alongside the IPO, AbbVie agreed to invest up to $100 million in a private placement at the same $17-per-share price. Following completion of both transactions, AbbVie is expected to hold approximately 4.9% of ADARx, according to the company.
Including the private placement, ADARx expects the two transactions to generate approximately $535.2 million in proceeds, excluding any additional shares that could be issued if the underwriters exercise their option. Both the IPO and private placement are scheduled to close on September 28.
RNA Interference Forms the Core of ADARx’s Pipeline
Founded in 2019 and headquartered in San Diego, ADARx is developing medicines based on RNA interference, an approach designed to silence genes responsible for producing disease-associated proteins. The company’s pipeline is aimed at multiple therapeutic areas, including kidney disease, cardiovascular disorders, neurological conditions and rare blood diseases.
The technology gives ADARx a platform-oriented development strategy rather than relying on a single therapeutic target. However, the company’s future progress remains closely connected to the clinical development and regulatory trajectory of its drug candidates.
Onvuzosiran Moves Toward a Major Clinical Milestone
ADARx’s lead candidate, onvuzosiran, is being evaluated in late-stage trials for hereditary angioedema, a rare genetic disorder associated with sudden episodes of swelling. In early-stage trials, the treatment reduced plasma kallikrein, a protein associated with swelling episodes, by as much as 93%.
The company’s IPO filing indicates that early Phase 3 results are expected by late 2027. That milestone could become an important point for investors assessing the clinical potential of ADARx and the company’s ability to convert its research platform into commercially viable therapies.
AbbVie Relationship Extends Beyond the IPO
The investment builds on an existing relationship between ADARx and AbbVie. The companies previously entered into a collaboration and license option agreement covering RNA interference therapies in neuroscience, immunology and oncology. AbbVie paid $335 million upfront under that agreement, according to the cited industry report.
The combination of the previous collaboration and the new private placement gives AbbVie a continuing financial relationship with ADARx as the biotech advances its pipeline.
