A $55 Million Equity Award Places Shareholder Returns at the Center
Apple disclosed that Ternus’ fiscal 2027 compensation arrangement includes a $3 million annual salary and an annual equity award with a target value of $55 million. Of that equity award, 75%, or approximately $41.25 million at target value, will consist of performance-based restricted stock units tied to Apple’s total shareholder return relative to other companies in the S&P 500.
The remaining 25%, equivalent to approximately $13.75 million at target value, will consist of time-based restricted stock units. Those awards will vest in equal semiannual installments over four years. Apple also granted Ternus a prorated fiscal 2026 RSU award with a target value of $2.5 million following his appointment as CEO on September 1, 2026.
Importantly, the 75% figure refers to the **equity component**, not 75% of Ternus’ entire $58 million target compensation. The distinction matters because his $3 million salary is not subject to the relative-TSR performance test.
Relative Performance Raises the Standard for Apple’s New CEO
The compensation structure is designed around relative rather than absolute stock performance. In other words, Ternus does not simply benefit from Apple shares rising; the performance-based portion is linked to how Apple’s total shareholder return compares with other S&P 500 companies.
That creates a materially different incentive from one based solely on revenue or earnings targets. Apple can generate strong absolute returns while still producing a weaker compensation outcome if competing S&P 500 companies deliver substantially better shareholder performance.
The approach is consistent with Apple’s established use of relative TSR as a key performance measure for executive equity awards. The company’s 2026 proxy statement said long-term equity incentives represent the vast majority of named executive officers’ target compensation and that stock-price performance is a key driver of compensation actually paid. Apple also reported that its 2025 absolute TSR was 12.66%, compared with 35.48% for its primary peer group, while its relative TSR remained strong enough for certain performance-based awards to produce above-target payouts.
For investors, the distinction is important because the new arrangement effectively makes **capital-market performance a central component of Ternus’ long-term economic incentives**.
Ternus Takes Over as Apple Faces a More Demanding Growth Cycle
The compensation package arrives as Apple enters a leadership transition with substantial strategic challenges. Ternus formally became CEO on September 1, 2026, succeeding Tim Cook, who moved into the role of executive chairman.
The timing gives the incentive structure added significance. Apple’s growth profile is increasingly dependent on maintaining the strength of its iPhone ecosystem while expanding services and developing new product categories. At the same time, the company faces intense competition in artificial intelligence, where investors have questioned the pace of Apple’s progress relative to major technology rivals.
Apple’s scale also makes sustained relative outperformance more difficult. The company’s 2026 proxy statement showed that Apple had approximately $416.2 billion in 2025 revenue and a $3.8 trillion market capitalization at the end of 2025, making it substantially larger than the median company in its executive peer group.
That scale means Ternus is not inheriting a small company where rapid expansion can easily translate into outsized shareholder returns. Instead, he must maintain Apple’s enormous earnings base while finding new sources of growth capable of keeping the stock ahead of a broad universe of S&P 500 companies.
The next several years will therefore provide a meaningful test of whether Apple’s leadership transition can translate into sustained relative shareholder performance. AI execution, product innovation, services growth, margins and capital allocation will remain important variables, but under Ternus’ new compensation structure, the ultimate benchmark is broader: whether Apple can create shareholder returns that outperform its large-cap U.S. peers over the relevant performance periods.
