Oracle co-founder and Executive Chairman Larry Ellison has canceled a previously disclosed plan that would have allowed him to sell up to 50 million Oracle shares, valued at approximately $7.5 billion based on the company’s September 11 closing price. The decision comes at a sensitive point for Oracle, as the company accelerates its AI infrastructure expansion while investors remain focused on capital requirements, cash flow and the sustainability of its spending strategy.
Ellison Scraps the Planned Share Sale
Oracle said Ellison had canceled the trading plan and that no Oracle shares were sold under the arrangement. The plan was adopted on June 22, 2026, and was scheduled to expire on October 24. Oracle did not provide a reason for the cancellation, but said Ellison currently has no other plans to sell his Oracle stock.
At Friday’s closing price, the planned sale would have represented a substantial transaction. Ellison remains Oracle’s largest shareholder, with more than 38% ownership, making any potential reduction in his position closely watched by the market. The cancellation therefore removes a possible source of additional share supply at a time when Oracle’s stock has already faced significant pressure.
AI Spending Is Reshaping Oracle’s Financial Profile
The decision comes as Oracle continues to spend aggressively to expand its cloud and AI infrastructure. In the first quarter of fiscal 2027, revenue increased 30% year over year to $19.3 billion, while total cloud revenue jumped 62% to $11.6 billion. Cloud Infrastructure revenue surged 121% to $7.4 billion, highlighting the rapid expansion of Oracle’s AI-related business.
At the same time, the scale of investment is creating financial pressure. Oracle generated negative free cash flow of $5 billion during the quarter as it continued adding data-center capacity. The company also added more than $30 billion in AI cloud contracts, lifting remaining performance obligations to $664 billion. The strength of future demand is significant, but investors are increasingly evaluating how quickly those commitments can translate into cash generation.
Why Oracle Shares Remain Under Pressure
Oracle’s stock has fallen nearly 23% year to date as concerns over capital spending and free cash flow have overshadowed strong operating growth. The company’s latest results exceeded expectations, but questions remain about the cost of building the infrastructure required to support its expanding AI cloud business.
Oracle is also facing restructuring costs that are expected to rise by approximately $700 million, partly reflecting workforce reductions. Against this backdrop, Ellison’s decision not to sell shares could be viewed as removing one potential overhang from the stock, although it does not resolve the broader questions surrounding Oracle’s financing needs and profitability of its AI infrastructure investments.
Investors will now be watching Oracle’s cash flow, capital spending, debt requirements and cloud growth more closely. Ellison’s decision removes the immediate possibility of a $7.5 billion insider share sale, but the larger question remains whether Oracle can convert its rapidly expanding AI backlog into sustainable cash generation without placing additional pressure on its balance sheet.
