The U.S. Department of Justice is reportedly widening its antitrust examination of Fox’s proposed $22 billion acquisition of streaming platform Roku, adding a significant regulatory dimension to one of the media sector’s largest transactions. The reported expansion comes as traditional broadcasters increasingly seek greater control over digital distribution and advertising platforms, while U.S. regulators continue to scrutinize consolidation across technology and media markets.

DOJ Requests More Information on the Proposed Combination

According to a Semafor report cited by Reuters, the DOJ plans to issue a second request to Fox and Roku. Such a request typically involves a more extensive exchange of documents, data and information after regulators determine that an initial review requires deeper examination.

Reuters said it could not immediately independently verify the report. The Justice Department, Fox and Roku had not immediately responded to Reuters’ requests for comment outside normal business hours. The distinction is important because the reported development remains unconfirmed by the parties or the regulator, although the market reaction indicates that investors are already assigning significance to the possibility of a prolonged regulatory process.

Roku Faces Immediate Market Reaction

Roku shares declined around 2% in extended trading following the report. The reaction reflects concerns that additional regulatory scrutiny could increase the time, cost and uncertainty surrounding the transaction.

For a deal valued at $22 billion, an extended review can become financially relevant even if regulators ultimately allow the transaction to proceed. Prolonged uncertainty can affect strategic planning, integration schedules and management resources, while also leaving both companies exposed to changing competitive conditions in the rapidly evolving streaming market.

The regulatory process could also force the parties to provide additional information about the competitive relationship between traditional television, streaming distribution and digital advertising. These markets have increasingly converged, making the boundaries of competition more complex than in conventional media transactions.

Fox’s Strategic Bet Extends Beyond Traditional Broadcasting

Fox announced in June that it would acquire Roku through a cash-and-stock transaction, positioning the deal as a strategic expansion of its digital business. Roku’s platform could strengthen Fox’s advertising capabilities while expanding the distribution of its sports and news programming through connected television and streaming channels.

The proposed combination therefore represents more than a conventional media acquisition. It would bring together a major broadcaster and a significant streaming platform at a time when advertising budgets are increasingly shifting toward digital and connected-TV environments. Roku’s platform could provide Fox with additional access to consumer viewing data and digital advertising infrastructure, while Fox could contribute premium content and established media brands.

The next stage of the transaction will depend heavily on the scope and outcome of the DOJ antitrust review. Investors will watch for formal confirmation of the second request, the companies’ responses and any potential remedies or changes to the transaction structure. The central issue is whether regulators view the combination as strengthening competition in a fragmented digital advertising and streaming ecosystem or as creating additional concentration in strategically important distribution channels. Until greater regulatory clarity emerges, the deal’s timeline and ultimate structure are likely to remain key variables for both Fox and Roku.
