Paramount Skydance has asked a U.S. judge to require states challenging its proposed acquisition of Warner Bros. Discovery to post a $1.88 billion bond, escalating the financial dimension of a legal battle over the $110 billion transaction. The request reflects concerns that a prolonged court process could generate substantial costs for Paramount before the merger can be completed.

Merger Delay Creates Significant Financial Exposure

Paramount said it must pay Warner Bros. shareholders a fee of $7 million per day if the transaction does not close by September 30. The company told the court that the scheduled March trial and subsequent legal proceedings could push the process well beyond that date, resulting in substantial payments that cannot be recovered even if the merger ultimately proceeds.

According to Paramount, the delay could leave it paying approximately $1.3 billion in unrecoverable ticking fees by the time the trial concludes and final legal briefs are submitted in April. The company has also estimated that the total cost associated with delays could reach approximately $1.7 billion through June 1.

States Challenge the $110 Billion Transaction

California and 11 other states filed a lawsuit on July 13 seeking to block the acquisition, placing the transaction under heightened antitrust scrutiny. The legal challenge means that Paramount must manage the costs of maintaining the deal while simultaneously preparing to defend the proposed combination in court.

The requested bond would shift some of the financial risk associated with the litigation delay to the states challenging the transaction. Paramount’s request highlights how merger litigation can create costs even before a court reaches a final decision on whether a proposed combination violates competition rules.

Legal Uncertainty Raises Strategic Stakes

The financial structure of the transaction makes timing particularly important. With a daily payment obligation beginning after September 30, every additional month of delay increases the economic burden on Paramount and potentially changes the financial calculus surrounding the deal.

For investors, the dispute illustrates the broader risks surrounding large-scale media consolidation, where regulatory scrutiny, litigation timelines and contractual obligations can materially affect transaction economics. The outcome will depend not only on the merits of the states’ challenge but also on how the court handles Paramount’s request for financial protection against the costs of delay.

Looking ahead, the court’s response to the $1.88 billion bond request, the timing of the antitrust proceedings and developments ahead of the March trial will remain important indicators for the transaction. The accumulation of ticking fees will also increase the financial pressure surrounding the merger as Paramount and the states navigate the legal process.
