Key Points
- SpaceX shares fell 3.4% on Friday to a record closing low of $108.37, extending weekly losses as investors prepared for the company's first earnings report as a publicly traded company.
- A lockup expiration on Aug. 6 could release up to 20% of outstanding shares for sale, raising concerns about additional downward pressure on the stock.
- Investors are closely watching SpaceX's capital spending plans, debt outlook, and reports of a potential merger with Tesla as the company navigates its early months in the public market.
SpaceX Extends Post-IPO Decline
SpaceX shares continued their volatile post-IPO performance, ending Friday at a new record closing low of $108.37, down 3.4% for the session and approximately 5.8% for the week.
The stock has now declined roughly 30% from its $150 public market debut last month and remains nearly 50% below its all-time high of $225.64, highlighting the challenges facing one of the year’s most closely watched public offerings.
The decline comes ahead of the company’s highly anticipated second-quarter earnings report, scheduled for Aug. 4, which will provide investors with the first detailed look at SpaceX’s financial performance since its market debut.
Lockup Expiration Looms Over Shares
Beyond earnings, investors are focused on an upcoming Aug. 6 lockup expiration, when as much as 20% of outstanding shares could become eligible for sale.
Such events often increase market volatility as early investors, executives, and insiders gain the ability to sell previously restricted shares.
Many market participants believe the additional supply could weigh on SpaceX shares in the near term, particularly given the stock’s already weak trading momentum.
Merger Speculation Adds Another Layer of Uncertainty
Investor attention has also turned to reports that CEO Elon Musk continues to explore a potential merger between SpaceX and Tesla.
According to reports, executives are evaluating how Tesla’s operations in China could be handled under such a transaction.
Analysts note that combining a major U.S. aerospace and defense contractor with Tesla’s significant manufacturing presence in China could invite increased regulatory scrutiny from Chinese authorities.
Concerns reportedly include national security considerations, supply chain oversight, and access to data generated by Tesla’s customer base in China.
Although no formal transaction has been announced, the speculation has added another source of uncertainty for investors.
Capital Spending Remains the Primary Focus
While earnings will attract significant attention, analysts suggest that SpaceX’s long-term investment strategy may ultimately prove more important than quarterly financial results.
Current projections indicate that the company’s capital expenditures could rise from approximately $48.7 billion this year to $118.4 billion by fiscal 2028.
At the same time, total debt is expected to increase substantially, potentially climbing from approximately $41.7 billion to more than $218 billion over the same period.
The large-scale investment reflects SpaceX’s ambitions across satellite communications, launch services, artificial intelligence infrastructure, and next-generation space technologies.
Investors Question Returns on AI Infrastructure Spending
The size of SpaceX’s planned investments has prompted comparisons with other technology companies committing heavily to artificial intelligence infrastructure.
Like Oracle, Alphabet, Meta, and several leading AI developers, SpaceX faces growing investor questions about whether massive capital expenditures will ultimately generate returns sufficient to justify the associated financing requirements.
Markets have recently become more cautious toward companies undertaking aggressive AI-related spending, particularly where profitability remains uncertain and debt levels continue to rise.
Outlook
SpaceX enters a pivotal week as investors prepare for its first quarterly earnings report as a public company while anticipating a significant increase in tradable shares following the upcoming lockup expiration. Alongside concerns over rising capital expenditures, debt growth, and ongoing merger speculation involving Tesla, management’s guidance on investment priorities and long-term cash generation is likely to play a central role in shaping investor confidence during the next phase of the company’s public market journey.
