UniCredit’s prolonged pursuit of Commerzbank has entered a decisive phase, with CEO Andrea Orcel increasingly holding the initiative despite years of opposition from Berlin. The Italian lender’s stake has grown to approximately 48%, while Germany’s successive governments have struggled to develop a unified strategy for defending a bank considered strategically important to the country’s economy.

Berlin’s 2024 Stake Sale Opened the Door

The roots of the takeover battle can be traced to September 2024, when the German government sold part of its Commerzbank holding, originally acquired as part of a financial crisis-era bailout. Officials later acknowledged that they had not expected UniCredit to emerge as the buyer. The Italian lender subsequently expanded its position, transforming what initially appeared to be a strategic investment into a broader takeover campaign.

The episode exposed a gap between Germany’s desire to maintain influence over Commerzbank and the practical limitations of preventing a cross-border transaction. Politicians considered measures to strengthen the state’s position, but disagreements over the scale of intervention and competing fiscal priorities complicated efforts to build an effective defence.

Political Fragmentation Strengthened UniCredit’s Position

UniCredit’s persistence has coincided with a difficult period for German policymakers. Coalition disputes, efforts to revive a struggling economy and the growing political challenge from the far-right AfD have consumed attention, while additional spending demands, including defence, have constrained the scope for further state intervention.

Commerzbank remains strategically significant because it is a major lender to Germany’s Mittelstand, the network of medium-sized companies that plays a central role in the country’s industrial and export economy. The bank serves more than 25,000 business customers, employs more than 40,000 people and has an important role in financing German foreign trade. That strategic importance has made foreign control politically sensitive, even as the economic case for greater European banking consolidation gains support.

Takeover Debate Moves Toward Deal Terms

The balance of power has shifted further as UniCredit’s holding approached 50%, a level that provides substantial influence over shareholder resolutions. Commerzbank Chairman Jens Weidmann proposed talks with UniCredit in July after months of resistance, while German Finance Minister Lars Klingbeil is scheduled to meet Orcel on September 14.

The meeting represents an important change in tone. Rather than focusing exclusively on preventing UniCredit from gaining control, the discussion is increasingly moving toward the conditions under which a potential combination could take place. A merger would create a banking group with more than €1.3 trillion in assets across two of the euro zone’s largest economies, aligning with the European Central Bank’s broader push for greater cross-border consolidation.

For investors, the contrasting performance of the two banks also highlights the market’s assessment of the strategy. Since UniCredit became a Commerzbank shareholder, Commerzbank’s shares have more than tripled, while UniCredit’s stock has more than doubled, according to Reuters. However, political resistance, employee concerns and the strategic importance of Commerzbank mean that financial logic alone may not determine the eventual outcome.

The next stage will depend on the September meeting, negotiations over transaction terms and the position of German policymakers. The European Central Bank’s reported openness to the transaction could support further consolidation, but regulatory, political and employment considerations remain material variables. The key question is no longer simply whether Germany can prevent UniCredit’s advance, but how Berlin, Commerzbank and UniCredit will balance European banking integration, national economic interests and shareholder value if negotiations progress.
